AD Partners

These Terms of Service ("Terms") govern access to and use of the AD Partners platform (the "Service"), a white-label social media scheduling, content and reporting tool sold to marketing agencies. By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the agency you represent.

1. The Service

The Service lets registered agencies manage social media content for their own clients: scheduling posts, generating AI-assisted captions and images, routing content through a client approval workflow, viewing analytics, and sending branded reports. Some capabilities depend on connecting third-party platforms (Meta/Facebook, Instagram, LinkedIn, Google Business Profile, X and others) via each platform's own authorization process.

2. Accounts and Registration

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs under your account and under any staff or client accounts your agency creates within the Service. Notify us promptly of any unauthorized use.

3. Acceptable Use

  • You will not use the Service to publish unlawful, infringing, defamatory or fraudulent content.
  • You will not attempt to circumvent usage limits, security controls, or the tenant isolation between agencies.
  • You will not use the Service to send unsolicited bulk messages or to violate the terms of any connected third-party platform.
  • You are responsible for obtaining your clients' consent to manage and publish their social media content on their behalf.

4. Your Content and Client Data

You and your clients retain ownership of the content, media and client data you upload or connect to the Service. You grant AD Partners a limited license to store, process and transmit that content solely to provide the Service (for example, publishing a scheduled post to a connected account, or generating an AI caption from content you supply). We do not claim ownership of your or your clients' content.

5. Subscription, Billing and Cancellation

Paid plans are billed on a subscription basis (monthly or annually, as selected at checkout) through our payment processors. Fees, plan limits and any free trial terms are as shown at checkout or in your order confirmation at the time of signup. You may cancel your subscription at any time from within the Service; cancellation takes effect at the end of the current billing period unless stated otherwise at checkout.

6. Refunds

Refund eligibility, if any, is as stated at checkout or in your written agreement with us at the time of purchase. See our separate Refund Policy for the current process.

7. Third-Party Platform Dependency

Publishing, analytics and inbox features depend on APIs operated by Meta, LinkedIn, Google, X and other third parties. These providers may change, restrict or discontinue their APIs, revoke access, or alter their own terms of service at any time, outside our control. We are not responsible for a connected platform's availability, policy changes, or account-level restrictions imposed by that platform. You remain responsible for complying with each connected platform's own terms of use.

8. Intellectual Property

The Service, including its software, design and underlying technology, is owned by AD Partners or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, brand assets or source code beyond what is necessary to use the Service, or, on a white-label plan, to present the Service under your own agency's branding to your own clients.

9. Limitation of Liability

To the maximum extent permitted by law, AD Partners will not be liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate access to the Service for a violation of these Terms, non-payment, or as required by law. You may stop using the Service and cancel your subscription at any time. Certain provisions (including ownership, liability limits and governing law) survive termination.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of [Governing State/Country], without regard to its conflict of law principles.
